The terms governing the relationship between Clarionyx Ltd and clients who engage our services.
These terms and conditions govern the relationship between Clarionyx Ltd ("Clarionyx", "we", "us") and any client ("you", "the Client") who engages our services. By accepting a proposal or quotation from Clarionyx, you agree to these terms in full.
Clarionyx provides commercial cleaning consultancy and managed cleaning services, including but not limited to:
The specific scope of services will be set out in your written proposal or service agreement.
Initial site assessments carried out by Clarionyx are provided free of charge and without obligation. The purpose of a site assessment is to understand your premises, sector requirements, and compliance needs so that we can produce an accurate and appropriate proposal.
All quotations and proposals issued by Clarionyx are valid for 30 days from the date of issue unless otherwise stated. A quotation does not constitute a binding contract. A contract is formed only when you provide written acceptance of a proposal and Clarionyx confirms acceptance in writing.
Clarionyx reserves the right to withdraw or revise a quotation prior to written acceptance.
Unless otherwise agreed in writing:
Ongoing contracts: Either party may terminate a contract by giving 30 days written notice, unless a minimum term is specified in the service agreement.
One-off services: Cancellations made with less than 48 hours notice may be subject to a cancellation charge of up to 50% of the agreed service value.
Immediate termination: Clarionyx reserves the right to terminate a contract immediately where a client fails to make payment, acts in breach of these terms, or behaves in a way that is unsafe or inappropriate toward our operatives.

Clarionyx's total liability to you in connection with any service shall not exceed the total value of fees paid by you in the three months preceding the claim.
We are not liable for:
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Clarionyx processes personal data in accordance with UK GDPR and the Data Protection Act 2018. Personal data collected in connection with our services is used solely for the purpose of delivering those services and will not be shared with third parties without consent, except where required by law. Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the relationship. This includes cleaning specifications, site layouts, operational procedures, and any information marked as confidential. This obligation survives termination of any contract.
These terms are governed by the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Clarionyx reserves the right to update these terms from time to time. The current version will always be published on our website. Continued use of our services following an update constitutes acceptance of the revised terms.
